1)  When gifting city-owned "downtown" buildings and/or land (taxpayer subsidized via $1.00 sales),
designated re-developers should provide bonafide proof of proposed project financing (including sources)
prior to conveyance of same;

2)  Regarding Item #1, prior to "gifting" city-owned buildings and/or land, designated re-developers should
provide financials documenting the need for a specific amount of city taxpayer subsidies, project cost estimates and plans, plus other assurances to ensure timely/successful project completion while protecting the investment of city taxpayer's;

3)  The city shall not provide "gifts" of taxpayer funds (for example $300,000) prior to the re-developer
submitting bonafide proof of proposed project financing (including sources), verified project cost estimates and plans, documentation of the need for a specific amount of any/all city taxpayer subsidies, plus other assurances to ensure timely/successful project completion while protecting city taxpayers.

City Council Guidelines and Procedures

4)  Regarding the recent Kettering re-zoning controversy, the city Charter and Ordinances should be legally
reviewed and updated (if necessary) to clarify what constitutes a city council majority in matters involving the
over-riding of a Planning Commission recommendation?  In other words, should a majority or "super majority"
of city council members apply?

"Downtown" Re-Developer Responsibiliites

5)  Regarding past due Butler County property tax payments, "downtown" re-developers (those receiving
city tax abatements, real estate gifts and financial contributions), shall remain current with their required
payments?  If not, the city shall protect the city taxpayers investments?

6)  Regarding "downtown" re-developers receiving city subsidies, proposed projects shall be completed on
a timely basis as per agreements entered into with the city.  If not, the city shall ensure enforcement of
reasonable recourse for non-compliance with established deadlines?

Mr. Adkins -

It appears that some city-subsidized re-development deals resemble a new "downtown" LAND BANKING endeavor.  How many more years are needed for these projects to ever reach fruition?  The public deserves to know.

where can we read prior terms, conditions and amounts?

Yes, the subject comments presented are recent (within the past six or so weeks) and were previously posted on this blog.  Sadly, they were "covered-up" or "ridiculed" in responses from city hall sympathizers.

No, there's no knowledge if any discussions on "majority" or "super-majority" ordinance language has been discussed with city council, or, has undergone city staff scrutiny.  One would think that city staff and city council would pursue this concern?

Yes, Vivian Moon was told by a city council member (one who is not up for re-election), that Liberty Spirits LLC is non-compliant with city project completion stipulations.  And, SWOhio75, etc., I will not divulge the source of said confidential information.

No, there's no knowledge if city staff or city council members are pursuing a remedy to this "alleged" breech of contract provisions.

Yes, as Vivian Moon has done in a couple of instances, the public has a right to request re-development deals prior terms, conditions and amounts from the Economic Development Department.  This also applies to Finance Department information on the Downtown Fund and UDAG funds.  Vivian's tenacious quest for truth has already unveiled some very interesting information on NSP activities and expenditures. 

No, I don't know who (if anyone) at One Donham Abbey is in charge of re mediating past due re-developer delinquent property taxes.  It's unknown if Mr. Adkins directly or Economic Development Department staff is responsible for managing city subsidies, etc.

For Middletown taxpayers, those expecting sound management of taxpayer funds and "downtown" contract conditions, the above matters are worthy of immediate and objective investigation.

Liberty Spirits LLC, a start-up micro-distillery, is planning to buy the property at 1316 Vail Ave. from

the city of Middletown for $1, with plans to rehabilitate the 4,000-square-foot structure by late fall.

In the meantime, owner Mike Robinette plans to initially open the micro-distillery operation in another

4,000-square-foot building two properties away at 1357 Central Ave. in late June. The distilling of

alcohol itself likely will start in late May.

“We’re calling the business Liberty Spirits purposely, because we’re going to build on the American

Revolution era and in particular Patrick Henry, and his famous speech, ‘Give Me Liberty or Give Me

Death,’” said Robinette, a former Middletown city employee who is owner/broker at Geo CRE

Commercial Real Estate in Hamilton, and owner of Liberty Spirits.

“We’re going to produce un-aged products, including vodka, gin, what they call light whisky or

moonshine, we’ll have some flavored moonshine, and then we’ll do aged bourbon and whisky,”

Robinette said.

“Some of the large manufacturers are calling their products small-batch, but we’ll be truly ‘small batch,’”

Robinette said. “We’ll be at a price point that is affordable, yet it’ll be a high-quality, small-batch, hand-

crafted product.”

“I’d say I visited probably 30 craft distilleries in the Midwest, talking to owners and people who had

developed them,” he said. “I’ve always wanted to make something, but I never really found anything

that I was passionate about making until I came across this, so we ran with it.”

Middletown City Council, which has heard from people concerned about opening of another alcohol-

serving establishment downtown, will consider the sale to Liberty Spirits at its March 1 meeting.

In May, 2010, City Council authorized the purchase of 1316 Vail from a custom-cabinetry company

for $90,000, and that cost was paid from city government’s downtown fund, City Manager Doug Adkins

told council.

There’s a large hole in the roof, and all the wiring, plumbing and heating equipment have been stripped

from the building, which is filled with trash. The city once planned to raze it.

The proposed sale also includes a grassy area facing Central Avenue, which came to the city from

when a pub building was forfeited to the state for non-payment of taxes, and that property was deeded

to the city at no cost. Other land in the deal used to be occupied by Apostle of River of Power

ministries building next door, which was purchased for $100,000, using U.S. Department of

Housing and Urban Development recession (Neighborhood Stabilization Program) grants that

were intended to stimulate the economy. The pub and ministry buildings were demolished by O’Rourke

Wrecking for $115,000, which was also paid for by federal Neighborhood Stabilization Programs funds

and HUD grants.  (NSP funds were allocated by HUD to affected communities like

Middletown to address the negative impact of nationwide residential

foreclosures, not "downtown" commercial re-development ventures) !!!

So in total, “the two demolished buildings and the two vacant lots have no local dollars spent on

acquisition and demolition,” Adkins said. And since the demolitions, the city has spent $3,144 mowing

the empty lots.

“The building on Vail has a three-foot hole in the roof and has been exposed to the elements for some

time,” Adkins said. He said the county auditor’s office lists the property’s value at $79,950, which he

considered to be “on the high side,” given its condition.

Between purchase of the building at 1357 Central Ave. and renovations and equipment for it and the

one at 1316 Vail, Robinette expects to spend about $400,000.

Under the proposed deal with Liberty Spirits, “if the property is not

completely developed by Dec. 31, 2016, he will be in default of the

agreement,” and if that were to happen, the city could give him notice

that the property would revert to city government within 60 days if

work isn’t finished, Adkins said. The real estate cannot be transferred

to anyone else during the agreement.

“That was our attempt to make sure that it got done, or that the building came back to the city,” said

Adkins.

Hurt or help for downtown?

Adkins told council he’s heard questions from the public “about the intelligence of adding another bar

downtown, and the fact that it might hurt existing business.”

But,”the concept for downtown has always been to create a destination that caters to many different

interests,” Adkins said.

Just as Walgreens and CVS locate on the same intersections, or Home Depot and Lowe’s spring up

next to each other, “this would be a clustering of drinking establishments, with the hope that with the

operating designated outdoor refreshment area, whether you drink beer, wine or distilled liquor — or

coffee — downtown is hopefully where you want to come to get your drink of choice,” Adkins said.

During the summer, Robinette said, “We’ll have a modest-sized tasting room and retail space in that

property until we’re able to gain ownership of the building that’s one building away from ours that has

a Vail (Avenue) address.”

When the Vail property is finished later in the year, “our plan there is to enlarge the tasting and retail

space, and move it over there, and then there’s a bill pending in the (Ohio) legislature that will allow

craft distillers to have bars similar to the way craft wineries and craft breweries can now,” Robinette

said. “If we’re able to get that legislation passed, we’ll open a full bar there, in addition to the tasting

room and retail space.”

Robinette said he plans to redo the facade of the Vail building that faces Central and put the entrances

there, with a covered porch between the building and Central becoming an outdoor entertainment area.

Council Member Talbott Moon asked whether the city could put the property

out for bid. Adkins said the city could do that, but there has been no other

interest expressed in the property, whereas Liberty Spirits is “ready to take

ownership and move forward immediately.”

As of today, Butler County Auditor's and Treasurer's Offices records list owners of at least two "downtown" re-development projects as having balances due on property taxes.

Mr. Grau's group, owners of the former Manchester Inn, have a $7,200+ balance.  The latest owners of the former CG&E Building (Store Master Funding), the one's who purchased same from Cincinnati State, who previously bought same originally from the city, have a balance due of $200,000+.

Do city conveyance documents for these "downtown" re-development deals include language pertaining to the timely payment of subsequent property taxes?  Does the city have any recourse in matters like this?

Goetz Tower Project

Mr. Adkins provided an update on the Goetz Tower Project. He stated that the plan calls for 18-20 market rate studio and one bedroom apartments and ground floor commercial space. He explained that right now there’s a funding gap of $784,203 in the project. Without financial support from the City the project won’t start; he discussed options of cash/occupancy guarantees and waiving of fees to get the project completed. 

Project Update (11/7/2017)

Approximately six weeks ago Vivian Moon spoke directly with Economic Development Department staff regarding the status of the Goetz Tower 'downtown" re-development deal.  She was advised that the re-developer had somehow secured necessary (unspecified sources of) capital for the "$784,203 funding gap" and that project construction was to commence immediately.  Has anyone seen any visual signs that construction is underway?

Ordinance No. O2016-04, an ordinance establishing a procedure for and authorizing a contract for the Transfer Property transfer of City owned property located at 1316 Vail Street to Liberty Spirits, LLC for redevelopment, 1316 Vail and declaring an emergency was read with no action requested until the March 1st meeting.

Pages 21 through 50 of the aforementioned workbook includes contract documents that spell out amongst other things re-developer project commencement and completion deadline provisions, penalties, etc.  It would appear that Liberty Spirits LLC, absent any subsequent revision to these documents by all parties concerned, is presently non-compliant.

Public records regarding the property transfer of 1300 block Central Avenue vacant city-owned parcels to Liberty Spirits LLC has not yet been located.

The Robinette deal probably shouldn't have happened, however you can't blame the guy for taking the deal, + it is a really nice place. I enjoy going there.

All comes down to Council/Admin spending our $$$ this way.
If y'all like it--fine
We all hope that it pays off
But don't ask me to approve a tax increase if it doesn't

If we offer someone something of value for nothing, we can't fault them for taking it imo.

Simple Question?

When the city has sold buildings and/or vacant land for $1 to "downtown" re-developers, that is the Manchester Inn/Sonshine Building and Vail Avenue Woodworking Shop/1300 block of Central Avenue lots, do the city's property conveyance documents PRECLUDE re-developers from using these assets as lender collateral to finance any other related/unrelated project(s)?

Today's review of Butler County Treasurer's and Auditor's websites reveal that four city-assisted "downtown"
redevelopment projects (two completed and two not) aren't assessed property taxes for land and/or buildings.
Does anyone know the answer/rationale for this apparent determination?

It was also learned today that four different city-assisted "downtown" redevelopment projects still are currently
in arrears with their Butler County property tax payments.  One entity has an unpaid balance of $200,000+.

The following property tax information was obtained today from the Butler County Treasurer's Office for the Pendleton Art Center Middletown, LLC property located at 1105 Central Avenue plus the Torchlight Pass, LLC property located at 1131 Central Avenue.  Is it accurate that there's no annual property taxes payable for these city-assisted "downtown" redevelopment projects?  Any clarification of these questions would be appreciated.  Thank you.

The players in this melodrama remain in power and removed from any interaction with the minuscule few who devote their time and energies to posting these bureaucratic escapades. The following "condensed" property tax information was obtained today from the Butler County Treasurer's Office for the Liberty Spirits, LLC properties purchased from the city for $1.00 and located at 1325 Central Avenue, adjoining ? Central Avenue (vacant lot), 1329 Central Avenue, 1341 Central Avenue and two (2) parcels identified as 1316 Vail Avenue.  Is it accurate that there's no annual property taxes payable for these five "downtown" redevelopment vacant lots and building?  Noted elsewhere are three (3) other "downtown" redevelopment projects having similar findings.  Any assistance with these questions will be appreciated.  Thanks.

So--I assume that other businesses not in the former downtown tax exempt zone + citizens throughout the city are picking up these forgiven tax liabilities?
